Allcargo Logistics’ International Supply Chain Business demerged into Allcargo Global Effective November 1

Mumbai, 3rd November, 2025 : Allcargo Logistics Limited, a leading integrated logistics solutions provider, announced that its Composite Scheme of Arrangement involving the demerger of its International Supply Chain (ISC) business and merger of its Domestic Supply Chain business  became effective on November 1, 2025. The scheme received approval from the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, through an order dated October 10, 2025.

Under this strategic restructuring, Allcargo’s International Supply Chain business has been demerged into a newly incorporated entity, Allcargo Global Limited, while the domestic express distribution and consultative logistics businesses have been merged into Allcargo Logistics Limited. The move aims to enhance operational synergy, strengthen business focus, and unlock greater stakeholder value.

The Board of Directors has fixed November 12, 2025, as the Record Date, after which shares of Allcargo Logistics Limited will trade ex-international business. The merger will consolidate the domestic express business (currently under Allcargo Gati and GESCPL) and consultative logistics business (under ASCPL) into the resulting entity.

The listing of Allcargo Global Limited will take place following requisite regulatory and procedural approvals.

This restructuring marks a major milestone in Allcargo Logistics’ growth journey, enabling sharper strategic alignment between its global and domestic operations and reinforcing its commitment to delivering long-term value to shareholders
